TERMS AND CONDITIONS

Hydraulic Zone does not own or represent any of the brands stipulated on our website, Spare parts and components are completely interchangeable with parts of pointed equipment. Provided and produced with warranty obligations of the Hydraulic Zone trademark.

General; Hydraulic Zone shall provide the Products, Services, Repairs and Testing (as defined below) in accordance with these terms and conditions. Whereby it is agreed as follows:

Definitions; In these Conditions, the following definitions apply:

Hydraulic Zone: means Hydraulic Zone or any subsidiary or associate thereof as such terms are defined in the companies act (as amended from time to time) but excluding any such subsidiary or associate company registered in India.

Business Day: a day (other than a Sunday or public holiday) when government officials in India are open for business.

T&C: the terms and conditions set out in this document as amended from time to time in accordance as per clauses mentioned for the dealing.

Contract: any contract between Hydraulic Zone and the customer for the supply of Products and/or Services and/or Repairs and/or Testing made in accordance with these Conditions.

Customer/Client: the individual, firm, company or another party from whom an order is received by Hydraulic Zone.

FNP: Products supplied in the manufacturer’s packaging and the term NFNP shall be used to refer to all other Products.

Products: the Products including FNP and NFNP(or any part of them) set out or referred to in the relevant Order or the Order Confirmation issued by Hydraulic Zone (where there is a conflict between Order and Order Confirmation the Order Confirmation will prevail) or otherwise agreed as being the products by the parties.

Item ID: Item ID refers to a unique code for its product identification generated by the Hydraulic Zone. Item ID does not represent any other manufacturer product’s code/serial nos.

Manufacturer: This means the actual producer of the products mentioned on our website.

Model No: Model no mentioned by Hydraulic Zone indicates the product's actual image by its multiple numeric/alphabetic codes which help to understand the product come from which particular family.

Material No: Material No is the unique code no which helps to understand the complete specification of the pump including its fitting & body shape. It is also called Product ID/Part no.

Condition: the condition set out on our website/at the time of order of the product; indicates the actual physical condition of the product being enquired.

Features: This justifies the product being designed for which particular operations.

Tech Specification: the specification as set out in the description given to the products by Hydraulic Zone. (Hydraulic Zone does not take any liabilities for any information if mentioned wrong or missing in the said column).

Datasheet Links: Datasheet links are being mentioned by Hydraulic Zone for information purposes only. Please read and understand carefully at your own risk before ordering.

Order: the Customer's order for the Products, Repairs or Services.

Order Confirmation: the confirmation of the order issued by Hydraulic Zone

Services: the on-sight services, supplied by Hydraulic Zone or its selected sub-contractor to the Customer as set out in the Service Specification below.

Hydraulic Zone Materials: shall without limiting its other rights or remedies have the right to suspend performance of the Services and/or further delivery of the Products until the Customer remedies the Customer Default, and Hydraulic Zone shall be relieved from the performance of any of its obligations to the extent the Customer Default prevents or delays Hydraulic Zone’s performance of any of its obligations.

Repairs: repairs made by Hydraulic Zone to Repair Items as specified in the Order confirmation.

Repair Items: items sent to Hydraulic Zone by the Customer for repairs and which Hydraulic Zone has agreed to receive for the purposes of repair.

Service Specification: The written description or specification of the Services provided by Hydraulic Zone to the customer, either at the Customers place of business or at the Hydraulic Zone workshop.

Testing: Testing and cleaning of items undertaken by Hydraulic Zone on items.

PRODUCTS

The Products are described as set out on the Hydraulic Zone website and by any applicable Products Specification.

Hydraulic Zone reserves the right to amend any Products Specification if required by any applicable statutory or regulatory requirements.

Notwithstanding that title in the Products shall not pass until payment, all Products shall be at the risk of the Customer from the point of delivery.

Where the quoted price includes carriage, Hydraulic Zone shall not be liable for loss or damage in transit unless the notice of such loss or damage is given to the carriers and to Hydraulic Zone verbally within 24 hours and in writing within 5 days of point of delivery.

Hydraulic Zone may arrange specific types of carriage at the request and cost of the Customer as an agent of the Customer only and without liability or obligation on the part of Hydraulic Zone.

If through instructions or lack of instructions from the Customer, Hydraulic Zone is unable to dispatch the Products within seven days after the date of notification that they are ready for dispatch, the Products will be deemed to have been delivered and Hydraulic Zone shall be entitled to arrange insurance and storage within its own works or elsewhere on behalf of the Customer and the Customer will pay Hydraulic Zone reasonable charges incurred for such insurance or storage. The Products shall be invoiced and the customer must pay within the normal agreed terms of payment.

Hydraulic Zone is not responsible for export demurrage charges and/or customs charges or additional costs resulting from delays in unloading.

Any dates quoted for delivery of Products are estimates only. No warranty is given for the specific time of delivery. Time of delivery is not of the essence. Hydraulic Zone shall not be liable for any delay in delivery of the Products that is caused by a Force Majeure Event or the Customer's failure to provide Hydraulic Zone with adequate delivery instructions or any other instructions that are relevant to the supply of the Products, or in any event, any delay which is less than 4 months from the original estimated time of delivery.

If Hydraulic Zone fails to deliver the Products, its liability shall be limited to the costs and expenses incurred by the Customer in obtaining replacement Products of similar description and quality in the cheapest market available, less the price of the Products.

Products Supplied by Hydraulic Zone, may be un-used but re-packaged, or used. Hydraulic Zone gives no warranty that the Products are brand new. unless the Products are listed in the applicable Order Confirmation as being ‘Factory/Brand New’.

Warranty For Products And Repairs

Subject to the provisions.

Hydraulic Zone warrants that on the point of delivery for a period of tenure as mentioned in warranty from the date of delivery Factory/Brand New Products shall conform in all material respects with their description and any applicable Specification.

Hydraulic Zone warrants that on the point of delivery and for a period of 6 months all NFNP shall conform in all material respects to their description.

Hydraulic Zone warrants that from the point of delivery all Repairs will accord with their description and/or remain functional subject to the performance of the Repair Item for a period of 3 months.

Notwithstanding the above, Hydraulic Zone expressly gives no warranty as to the future functionality of repairs made to robotic items or items that are the subject of testing, save that such repairs and Testing shall be carried out in good faith.

The Customer gives notice in writing to Hydraulic Zone during the respective warranty period that some or all of the products or repairs do not comply with the warranty set out in the clause given above.

Hydraulic Zone is given a reasonable opportunity of examining such Products; and

Hydraulic Zone shall, at its option, either repair or replace the defective Products or Repairs, or refund the price paid or to be paid for the element of the Products or Repairs found to be defective

Hydraulic Zone shall not be liable for the failure of Products or Repairs to comply with the warranty set out in the clause and in any of the following events:

the Customer, and/or end-user and/or installer failed to follow Hydraulic Zone’s oral or written instructions as to the storage, commissioning, installation, use and maintenance of the Products and/or Repair Items and (if there are none) good trade practices regarding the same;

The Customer and/or end-user and/or installer alters or repairs such Products or Repair Items without the written approval of HYDRAULIC ZONE; or

The defect arises as a result of fair wear and tear, willful damage, negligence, or abnormal storage or working conditions.

Terms implied by statute are excluded to the fullest extent permitted by law.

Warranty: As mentioned for any manufacturing defect. In case of any problem, the product is to be sent to us for repair or replacement on the basis of terms and conditions offered at the time of order (There is no clause for the customer to send the pump directly to the manufacturer). We don’t represent ourselves as authorized promoters or sales partners for any particular brand. No manufacture certificate is available on any item until and unless not specified with the product. If any issue persists with the material physical/working quality to be reported within 7 days of receiving the material after that no responsibility will be liable to us. Insurance to be carried by the purchaser before dispatch (If any).  No warranty shall be entertained for failure due to mis-handling,  mis-alignment , oil contamination & cavitation.  For more please read warranty terms and conditions carefully.

No warranty shall be entertained for failure due to the below condition.

Damage due to deterioration during periods of storage by the purchaser prior to installation and operation.

Damage of any kind from the erosive or corrosive action of any gasses or liquids handled by the machinery.

Lack of or incorrect type of hydraulic fluid.

Contamination of the hydraulic fluid.

Damages attributable to accident abuse or neglect.

Stripped splines or keyways on drive shafts.

Incorrect mounting of external gears, pulleys, etc.

Operating beyond the recommended maximum speeds, pressures, and temperatures.

Use of the products in a manner or for a purpose for which they were not designed or intended by the manufacturer.

Repairs or disassembly by unauthorized personnel.

Misalignment of pump/motor shaft.

Damage due to voltage spikes, static discharge, electrical storms, mis-wire, physical abuse, externally controlled device failure and improper fusing.

Warranty for Supply of Services

Warranties for services are provided subject to the provisions of the clauses above.

Hydraulic Zone shall provide the Services to the Customer in accordance with the Service Specification in all material respects.

Any performance dates specified by Hydraulic Zone for delivery or completion of the Services shall be estimates only and time shall not be of the essence for the performance of the Services. Hydraulic Zone shall have no liability for delay in the delivery of services provided that such Services are delivered within 4 months of when estimated.

Hydraulic Zone shall have the right to make any changes to the Services which are necessary to comply with any applicable law or safety requirement, or which do not materially affect the nature or quality of the Services, and Hydraulic Zone shall notify the Customer in any such event.

Hydraulic Zone warrants that the Services will correspond with their description.

Charges and Payment

The price of the Products and/or Repairs and/or Services and/or Testing shall be the price set out in the Order Confirmation.

The price is exclusive of the costs and charges of packaging, insurance and transport, which shall be invoiced to the Customer unless otherwise stated in writing and agreed by Hydraulic Zone.

In the absence of an Order or Order Confirmation stating the price, Hydraulic Zone shall be entitled to charge a fair sum having regard to all the circumstances as if the agreement had beenreached between a willing buyer and seller.

If extra works are required over and above that ordered Hydraulic Zone shall be entitled to charge additional sums and a fair rate in accordance with Hydraulic Zone's usual rates. Similarly, if the work takes longer than was anticipated by Hydraulic Zone or is delayed for any reason other than that which is the Hydraulic Zone's sole responsibility, Hydraulic Zone may charge additional sums on a pro-rata basis.

Hydraulic Zone shall be entitled to charge the Customer for any expenses reasonably incurred by the individuals whom Hydraulic Zone engages in connection with the Services including, but not limited to, travelling expenses, hotel costs, subsistence and any associated expenses, and for the cost of services provided by third parties and required by Hydraulic Zone for the performance of the Services, and for the cost of any materials.

Hydraulic Zone reserves the right to; Increase the price of the Products or Repairs or Services, by giving notice to the Customer at any time before delivery, to reflect any increase in the cost of the Products or Repairs or Services to Hydraulic Zone that is due to;any factor beyond the control of Hydraulic Zone (including foreign exchange fluctuations, increases in taxes and duties, and increases in labour, materials and other manufacturing costs);any request by the Customer to change the delivery date(s), quantities or types of Products or Repairs or Services ordered, or the Products Specification or Services Specification; orany delay caused by any instructions of the Customer or failure of the Customer to give Hydraulic Zone adequate or accurate information or instructions.

Notwithstanding the above, if Hydraulic Zone is requested to undertake work on an urgent basis prior to the receipt of an Order and/or the provision of an Order confirmation the Customer shall be deemed to agree to pay a reasonable price for such work including but not limited to preparatory work, the provision of estimates and the cost of carriage.

Unless otherwise expressly agreed between the parties, in respect of Products, Hydraulic Zone shall invoice the Customer on or at any time after completion of delivery of Products or Repairs. In respect of Services, unless otherwise agreed Hydraulic Zone shall be entitled to invoice the Customer weekly in arrears for the value of the works undertaken as reasonably estimated by HYDRAULIC ZONE in its sole discretion.

The Customer shall pay each invoice submitted by Hydraulic Zone:By the end of the following month of dispatch in full and in cleared funds to a bank account nominated in writing by Hydraulic Zone, and

Time for payment shall be of the essence of the Contract.

The price of the Products, Repairs and/or Services is exclusive of amounts in respect of tax. The Customer shall, on receipt of a valid GST invoice from Hydraulic Zone, pay to Hydraulic Zone such additional amounts in respect of GST as are chargeable on the supply of the Products.

If the Customer fails to make any payment due to Hydraulic Zone under the Contract by the due date for payment, then the Customer shall pay a ate payment fee on the overdue amount at the rate of 5% per annum rate from time to time. Such interest shall accrue on a daily basis from the due date until the actual payment of the overdue amount, whether before or after judgment. The Customer shall pay the interest together with the overdue amount.The Customer shall pay all amounts due under the Contract in full without any set-off, counterclaim, deduction or withholding (except for any deduction or withholding required by law).

Return Policy

Hydraulic Zone operates a returns policy described below for Products ordered in error. This does not apply to items that are not routinely held in stock by Hydraulic Zone.

Where a customer seeks to return products for reasons that are other than Hydraulic Zone’s fault, Hydraulic Zone may in its sole discretion offer a refund of up to 75% of the purchase price minus any costs incurred by the Hydraulic Zone associated with their initial delivery and return. No refund will be provided unless the products are returned in a manner that allows them to be sold by Hydraulic Zone for at least the same price as they were sold to the Customer. Specifically but without limitation the Products packaging must not have been opened. No refund will be considered unless the Products are returned by the Customer within 5 days of their receipt.

Waiver

A waiver of any right or remedy under the Contract or law is only effective if given in writing and shall not be deemed a waiver of any subsequent breach or default. No failure or delay by a party to exercise any right or remedy provided under the Contract or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.

Third-party rights

A person who is not a party to the Contract shall not have any rights to enforce its terms.

Variation

Except as set out in these Conditions, no variation of the Contract, including the introduction of any additional terms and conditions, shall be effective unless it is in writing and signed by HYDRAULIC ZONE.

Governing law

The Contract, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with the law of India and Wales.

Jurisdiction

Each party irrevocably agrees that jurisdiction at Delhi shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Contract or its subject matter or formation (including non-contractual disputes or claims).
